Description:

The Individual Life Insurance division of the Prudential Law Department is seeking an attorney to join our reinsurance team.  This attorney will provide legal support to the Prudential businesses as part of the reinsurance team within the Individual Life Insurance legal group, regarding all aspects of life reinsurance with unaffiliated third parties, as well as capital management using captive reinsurance companies, financing of reserves with the capital markets, corporate governance, and communications with regulatory authorities and industry groups.  The position will provide reinsurance legal support for various departments, including Product Development, Reinsurance, Corporate Finance, Government Affairs, Enterprise Risk Management and Corporate Secretary, and may participate in new product development projects.  In addition, the position will provide legal support regarding reinsurance transactions to other Prudential businesses, such as Annuities, Retirement and Group Insurance. 

 

The candidate should have a minimum of 3-5 years of relevant law firm or insurance, reinsurance or other financial services company law department experience.  The candidate should meet the following criteria:

 

·        Substantial experience drafting and reviewing contracts, complex financing documents, or securities filings.

·        Possession of superior communication skills - both oral and written.

·        The candidate must exhibit a strong work ethic, be a self-starter and display the ability to work with various levels of personnel, including senior management.

·         A commitment to becoming a subject matter expert for legal advice regarding reinsurance generally across the Prudential Financial organization.

 

Preference will be given to candidates who also have experience with any of the following:

·         Working knowledge of state insurance laws, as well as experience interacting with regulatory bodies.

·         Life company reinsurance transactions, with affiliates, captives and unaffiliated counterparties, including negotiation and documentation of treaties and related agreements 

·         Credit for reinsurance requirements, including reinsurance security devices, such as LOCs and reinsurance trusts 

·         Risk transfer issues in reinsurance and other required conditions 

·         Structuring, negotiation and legal documentation for complex reserve financing transactions, including capital markets transactions, securitizations and LOC facilities 

·         Capital and corporate risk management in general and the evaluation of counterparty risk and the use of comfort trusts and LOCs to mitigate risk in reinsurance structures 

·         Captive insurer corporate governance, holding company regulation, and permitted investments 

·         Regulatory matters, including contacts with state regulators, current developments in the regulation of reinsurance transactions and captive companies 

·         Life company product development and its regulation

A law degree is required.  The candidate should possess superior written and verbal communication skills and the ability to work with all levels of personnel, including senior management. The candidate must demonstrate strong leadership skills and the ability to work well in an environment where coordination and teamwork with legal and business associates is a priority.
