Position Description:

This position provides professional legal support by assisting supervising attorneys in all areas of commercial transactions, including managing contracts from negotiation through implementation, maintaining accurate and complete file documentation. On an ongoing basis, the Legal Specialist will draft and negotiate both standard and non-standard contracts.  As needed, the Legal Specialist will provide support in connection with the management of special projects and other department or company initiatives.

  • Drafting, analyzing, interpreting and negotiating a variety of contracts including NDAs, services agreements, technology agreements, contracts for the purchase of goods and services, statements of work, and contract amendments
  • Identify legal and potential business issues in contract matters and work with internal business clients to develop a negotiation strategy
  • Update and manage contract templates and contracts database
  • Manage contract review intake process
  • Conduct legal research and summarize laws, cases and other regulations as requested
  • Management of special projects or other department or company initiatives
  • Position reports to Corporate Counsel, Senior Corporate Counsel, Assistant General Counsel or Associate General Counsel
  • No direct responsibility for supervising others
Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.
Typically requires overnight travel less than 10% of the time.
Additional Environmental Job Requirements:

Must be eighteen years of age or older.
Must be legally permitted to work in the United States.
Additional Minimum Qualifications:

Education Required:

  • The knowledge, skills and abilities typically acquired through the completion of a bachelor's degree program or equivalent degree in a field of study related to the job
  • Paralegal certificate
Years of Relevant Work Experience: 5 years
Physical Requirements:
Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.

Legally eligible to work in the United States
Preferred Qualifications:
  • Experience in a corporate legal environment
  • 7+ years in contract administration
  • Experience with technology vendor agreements
  • Coordinates with both internal and external clients in a professional and responsive manner
Knowledge, Skills, Abilities and Competencies:
  • Excellent organizational skills, with ability to prioritize assignments and manage time efficiently
  • Strong oral and written communication skills
  • Strong contract drafting and negotiating skills with a comprehensive knowledge of standard contract terms (e.g., indemnification, warranty, limitation of liability, etc.)
  • Ability to work independently in a fast-paced environment
  • Ability to multi-task with high level of attention to detail and accuracy
  • Sound business judgment and strategic thinking capability
  • Self-motivated with demonstrated leadership skills
  • Skilled in Microsoft Office and other computer-based programs
  • Team oriented with a high degree of personal and professional integrity and ethics
